CISI Corporate Finance Regulation Past Papers: What Exists (2026)
No past papers exist for CISI Corporate Finance Regulation. Here's the official material that does, why old material misleads on this paper in particular, and where to get current, weighted practice papers.
Corporate Finance Regulation candidates usually arrive with a transaction already on their desk. They work in advisory, broking or private equity, or in the legal and accounting teams around them, the qualification is often a condition of the role, and the exam date is fixed before the revision starts. The search for past papers follows. CISI does not publish them for this unit and never has. It publishes the workbook, currently Edition 16, and one free specimen paper.

The paper you are preparing for
| Qualification | The regulation unit of the CISI Level 3 Certificate in Corporate Finance; the other unit is Corporate Finance Technical Foundations |
| Questions | 50, multiple choice |
| Time | 1 hour |
| Pass mark | 70%, so 35 of 50, no negative marking |
| Format | Computer based |
The 50 questions are split across five elements, and two of them dominate. Managing Regulatory Obligations is 16 and The Regulatory Environment in the UK is 14, so 30 of the 50 marks are conduct rules and company law. Equity Capital Markets takes 8, Takeovers and Mergers 7 and Corporate Governance 5. For the element-by-element detail, see the Corporate Finance Regulation exam guide.
What official material exists
Two things, plus the updates to them. The first is the CISI workbook for this unit, currently Edition 16, published in January 2026 for syllabus Version 21. The second is a free specimen paper, which shows how the questions and their four options are worded. CISI also publishes candidate updates against the workbook, and those updates are examinable, so read them. Sit the specimen paper once under the clock, late in your revision: once you have seen the answers you cannot sit it cold again.
Why old material is a poor shortcut
Few CISI papers date as fast as this one. The UK Listing Rules replaced the old listing regime in July 2024, sweeping away the premium and standard segments that older material is built around. A new prospectus regime has replaced the Prospectus Regulation Rules, and CISI's candidate update brings it into this exam. The UK Corporate Governance Code was reissued in 2024 and the Stewardship Code for 2026. A question written against an earlier edition can test a rule, a segment or a threshold that no longer exists, and nothing in the document will tell you that it has changed.
Unofficial PDFs add a second problem: answer keys nobody checked, and documents that are not this paper at all. Corporate Finance Technical Foundations, the other unit of the certificate, has a similar name and a different syllabus, and UK Financial Regulation covers some of the same law at a different depth. Material lifted from either will mislead you about what 50 questions in an hour on this syllabus actually ask.
The alternative: current, weighted mock papers
PasskeyPrep gives this paper nine full mock papers, each 50 questions in 60 minutes and weighted like the real one: 16 questions on managing regulatory obligations, 14 on the regulatory environment, down to 5 on corporate governance. Paper 1 is a warm-up drawn from the practice bank. Papers 2 to 9 come from a separate reserved pool that practice mode never serves, and they run from gentler to tougher, so the toughest can be kept for the final fortnight before your exam. Questions are written from scratch against syllabus Version 21, and every answer carries a full explanation. No mock score predicts a result. What a weighted mock shows is which elements still cost you marks with the clock running.

Frequently asked questions
Does CISI publish past papers for Corporate Finance Regulation?
No. Previously sat papers are not released and the live question bank changes. What CISI publishes for this unit is the workbook, currently Edition 16, one free specimen paper that shows the question style, and candidate updates that amend the workbook. There is no archive of retired papers behind them.
What is the format of the CISI Corporate Finance Regulation exam?
50 multiple-choice questions in 1 hour, computer based, 70% to pass, so 35 correct out of 50, with no negative marking and up to 10% additional unscored trial questions. It is the regulation unit of the CISI Level 3 Certificate in Corporate Finance, examined against syllabus Version 21.
Which part of the syllabus carries the most marks?
Managing Regulatory Obligations, at 16 of the 50 questions, then The Regulatory Environment in the UK at 14. Together they are 30 marks, three fifths of the paper: the FCA conduct rules, financial crime and market abuse, and the company law behind transactions. Equity Capital Markets is next at 8, then Takeovers and Mergers at 7 and Corporate Governance at 5.
Can I revise from UK Financial Regulation material instead?
Not as a substitute. UK Financial Regulation covers the FCA, financial crime and market abuse for people across the industry, at a different depth and with different weightings. Corporate Finance Regulation adds what a deal team needs: the Companies Act provisions behind transactions, the Takeover Code, the listing and AIM rules and the governance codes. Use UK Financial Regulation material for background, not for calibration.
